Terms of Service
Effective September 2, 2026
Professor (the “Service”) is a product of Ledgerwood LLC, a California limited liability company (“Ledgerwood,” “we,” “us”). These terms are a contract between you and Ledgerwood LLC only. The Service shows your Canvas assignments in one place and offers AI help that produces drafts and explanations for you to review and submit yourself. By using the Service you agree to these terms. If you do not agree, do not use the Service.

Who may use Professor
You must be at least 13 years old to use Professor, and if you are under 18 you must have a parent or guardian's permission. By using the Service you confirm this is true and that the information you give us is accurate. Professor is designed for college and university students. It is not designed or marketed for use by K-12 schools.
Your school and your data
You are the one who connects your Canvas account and chooses what to bring into Professor. Ledgerwood is not your school, is not a “school official,” and has no agreement with your school. We act as your tool, on your instructions, with data you already have access to. Nothing in these terms changes the rules your school sets for you.
Do your own work
The study helper is a tutor, not a ghostwriter. Drafts are a starting point you revise and turn into your own work before submitting. It is your responsibility to follow your school's academic-integrity policy. Professor will not generate answers for quizzes or exams, and you should not submit AI-written work as your own where your school prohibits it.
We make no promise about how any school, instructor, or detection tool will evaluate your work. Submission Check and any AI-writing estimate are probabilistic. They can produce false positives and false negatives, and they are not a guarantee that your work will pass any check.
Your Canvas account
You connect your own Canvas account using your own access token or calendar feed, and you are responsible for keeping that token safe. Only connect accounts you are allowed to access. You can disconnect at any time.
If you use an access token, you generate it inside your own Canvas account and choose to give it to us. Your school may restrict, expire, or revoke tokens at any time and may have its own rules about third-party tools. You are responsible for following your school's acceptable-use policy and Canvas's terms. We may change or discontinue a connection method if we need to.
AI output and your responsibility
AI help can be wrong, incomplete, or fabricated. Drafts, summaries, explanations, requirement checks, and any Submission Check result are aids, not answers you can rely on. You are solely responsible for reviewing and verifying everything, including facts and citations, before you use or submit it, and for any academic, disciplinary, or other consequence that follows. Submission Check results are supporting evidence only and are never proof of authorship or misconduct.
AI features run on models provided by third parties. Similar prompts can produce similar output for other users. We do not use your content to train AI models.
Your content
You keep ownership of the work you create, the drafts you write, and the writing samples you provide. You grant Ledgerwood a limited license to store and process that content only as needed to run the Service for you (for example, to generate a draft, run a check, or export a document). We claim no ownership of your work. The Service itself, our software, name, and logo are ours, and you may not copy or reuse them. If you send us feedback or suggestions, we may use them without any obligation to you.
Payments and plans
Some features require a paid plan. Paid plans are billed through Stripe; by subscribing you authorize the recurring charge for your plan until you cancel. Subscriptions renew automatically for the same period unless you cancel before the renewal date, which you can do at any time from your billing settings. Except where the law requires a refund, payments are non-refundable, and prices may change with notice for future billing periods.
The prices and allowances that apply to you are the ones shown on the pricing page when you buy. Plan allowances (such as the number of assignments, rewrites, or external scans included each month) are usage limits, not stored value: they have no cash value, do not roll over, and are not refunded if unused. A plan described as unlimited is still subject to fair use. Taxes may be added where the law requires. If a payment fails, we may move you to the free plan after a short grace period. Disputing a charge with your bank instead of contacting us may lead to suspension.
Availability and accuracy
Professor is provided as-is, on a best-effort basis, with no guarantee of uptime. AI help and cached Canvas data can be incomplete or out of date, so always confirm due dates, grades, and requirements in Canvas itself.
Beta features
Features labeled beta, preview, or new (including Submission Check) may change, be limited, or be withdrawn at any time while we work on them.
Acceptable use
Don't abuse, overload, reverse-engineer, or attempt to break the service, and don't use it to access data that isn't yours.
Disclaimer of warranties
THE SERVICE, ALL AI OUTPUT, AND THE RESULTS OF ANY ORIGINALITY OR AI-WRITING CHECK ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any result will meet your requirements or your school's.
Limitation of liability
To the fullest extent permitted by law, Ledgerwood LLC and its members, managers, officers, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost data, grades, academic standing, or opportunities, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim or US$100. Any claim relating to the Service may be brought only against Ledgerwood LLC. No member, manager, or employee of Ledgerwood is personally liable to you.
Indemnification
You agree to defend and hold Ledgerwood LLC and its members, managers, officers, employees, contractors, and service providers harmless from any claims, losses, or costs (including reasonable legal fees) arising from your misuse of the Service, your violation of these terms, or your violation of any law or your school's policies.
Suspension and termination
You can stop using Professor at any time by disconnecting your account or deleting it. We may suspend or end your access if you violate these terms, misuse the Service, or fail to pay for a paid plan. We may also update or discontinue the Service.
Changes to these terms
We may update these terms. If a change is material, we will tell you by email to your account address or by a notice in the app at least 14 days before it takes effect, and we will update the date at the top. Continuing to use the Service after the effective date means you accept the change. If you do not agree, delete your account before the change takes effect. If we change the arbitration section, your 30-day opt-out window starts again from the new effective date.
Dispute resolution and arbitration
Please email us first at support@professors.world so we can try to resolve any problem informally. If we cannot resolve it within 30 days, you and Ledgerwood agree to resolve any dispute by binding individual arbitration rather than in court, and you and we waive any right to a jury trial or to participate in a class action.
The Federal Arbitration Act governs this section. Arbitration will be run by the American Arbitration Association under its Consumer Arbitration Rules, held in San Diego County, California, or by video at your choice, with fees split as those rules provide. The arbitrator, not a court, decides whether a dispute falls under this section. Either of us may still bring an individual claim in small-claims court. Nothing here prevents either of us from seeking public injunctive relief in court where California law requires that option to remain available. If the class-action waiver is found unenforceable for a particular claim, that claim will be heard in court and the rest of this section still applies.
You may opt out of this arbitration agreement by emailing support@professors.world within 30 days of first accepting these terms, or within 30 days of the effective date above if you accepted an earlier version. Opting out does not affect the rest of the terms.
Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute not subject to arbitration will be handled in the state or federal courts located in San Diego County, California, and you consent to their jurisdiction.
Copyright
If you believe content on Professor infringes your copyright, email support@professors.world or write to Ledgerwood LLC, 415 Laurel St STE 3062, San Diego, CA 92101. Include a description of the work, where it appears on the Service, your contact details, a statement that you believe in good faith the use is not authorized, and a statement under penalty of perjury that you are the owner or authorized to act for the owner. We will respond in line with the DMCA.
General
These terms and the Privacy Policy are the entire agreement between you and Ledgerwood about the Service. If any part is found unenforceable, the rest still applies. If we do not enforce a term right away, we can still enforce it later. We may assign this agreement to an affiliate or to a successor that takes over the Service, including moving Professor into its own entity, and we will tell you if we do. You may not assign it. Notices to us go to support@professors.world or the mailing address above; notices to you go to your account email. Sections that by their nature should survive (such as Your content, Limitation of liability, Indemnification, Dispute resolution, and Governing law) survive if the agreement ends. Neither of us is responsible for delays caused by events outside our reasonable control.
